Constitution
Below is the societies constitution as ratified by the committee in 1993
1. The name of the Society shall be:
"THE MALDEN AND COOMBE HORTICULTURAL SOCIETY
hereinafter called "the Society"
2. The objects of the Society shall be to encourage all forms of horticulture by such means as the "Management Committee" (hereinafter defined) may determine, and to advise any member on horticultural matters.
3. The Officers of the Society shall comprise a President and Vice Presidents together with a Chairman, Treasurer, General Secretary, Membership Secretary, Show Secretary, Social Secretary, Supplies Secretary and Publicity/Promotions Secretary. which latter eight shall hereinafter be called "the Managing Officers".
4. The affairs of the Society shall be handled by the Managing Officers together with a Committee of up to 12 (twelve) members which shall jointly form the Management Committee. Seven members of the Management Committee shall form a quorum.
5. Membership of the Society may b e obtained by payment of an annual subscription due on lst January each year, in one of the following categories :
(i) individual Membership
(ii) Family membership (all those living in the same household)
(iii) Life membership may be awarded by the Management Committee.
(vi) Membership subscriptions shall be such as are agreed at the Annual
General Meeting of the Society, or a special meeting called for that purpose, to become effective from the following 1st January or such date as may be determined at the meeting.
6. The General funds of the Society shall be held by the Treasurer and banked in the name of the Society in any New Malden Bank. Cheques drawn against the Society's General Account must bear the signature of two of any four selected members of the Management Committee.
The Show Secretary and the Social Secretary shall hold subsidiary accounts in respect of their activities and shall submit an annual account to the Treasurer.
7. The financial year of the Society shall be 1st January to 31st December. An annual audit of the Society's accounts shall be carried out by an Auditor appointed by the Management Committee.
8. The Management Committee shall have the power to refuse membership or withdraw membership during the currency if such action is considered appropriate by a majority of the Management Committee.
9. The Annual General Meeting of the Society shall be held not later than the 28th February each year at which reports of the year's working from the Managing Officers, together with a Statement of Accounts up to and including the previous 31st December, shall be presented for approval.
The President and Vice Presidents shall be approved at the Annual General Meeting.
The Managing Officers shall be elected at each Annual General Meeting, and are expected to remain in office for a period of not less than 3(three) years.
The Management Committee shall be elected at each Annual General Meeting.
Honorariums for the Managing Officers shall be approved at the Annual General Meeting.
At least 21 (twenty one) days notice shall be given of such meetings and 25(twenty five) members present shall form a quorum
10. The General Secretary shall call a Special General Meeting upon receipt of a requisition signed by 25 (twenty five) members. At least 21(twenty one) days notice of such meeting and its purpose shall be given.
11. The Constitution of the Society shall only be altered as agreed by a majority at the Annual General Meeting or a Special General Meeting called for that purpose.
12. Any matters not covered by the Constitution shall be dealt with by the Management Committee.
